Self-Service PoC Terms of Service

Introduction

This Self-Service Proof of Concept (“PoC” or “Self-Service PoC”) will evaluate Botguard’s software, designed to protect, analyze and manage inbound web traffic, including but not limited to filtering traffic and blocking unwanted incoming HTTP(s) requests (“Product”), in order to assess its effectiveness for Your (“Company”) service offerings.

For this purpose, BotGuard grants the Company access to the Self-Service PoC, where the Company can add its websites to test the Products. To facilitate the successful performance of the PoC, Botguard will execute the installation of the Products, grant necessary access and resources, and provide instructions on how to conduct tests of the Products, allowing the Company to evaluate BotGuard (together “Services”). Upon successful PoC completion, the parties intend to proceed with executing a definitive commercial agreement, subject to separate terms and conditions.

Term

The duration of the Self-Service PoC is set for 7 (seven) business days following the date the PoC is made available for Company deployment. Botguard can modify the PoC duration, either by shortening or extending it if additional testing time is needed.

Infrastructure

The Botguard GateKeeper system is hosted on infrastructure provided by Botguard, as described in this architecture diagram.

Hardware Requirements

To ensure the optimal performance of the Self-Service PoC, Botguard will provide the following servers:

• Botguard GateKeeper: two virtual machines or dedicated servers to deploy the Botguard GateKeeper software, which will function as a reverse proxy for web traffic filtering at the web traffic landing point.
• Botguard Server: two virtual machines or dedicated servers to deploy the Botguard Server software, intended for HTTP/HTTPS request analysis and visitor detection.

Botguard reserves the right to determine the physical location of the servers required for the PoC.

Exclusive Use of Login Credentials

The Company guarantees that the login details for the PoC Self-Service access will not be shared with third parties. In case of any indication that the login credentials have been compromised, the Company is responsible for promptly informing Botguard and immediately resetting all login credentials.

Fees and Expenses

This Poc is free of charge. Each party bears its own expenses incurred during the execution of this Self-Service PoC.

Technical Support

The Company provides all necessary technical support to its customers in connection with the Products. Botguard provides support to the Company on all testing works and security events during the term of this PoC. Botguard provides technical support to the Company through a ticketing system, accessible 24/7 via the Botguard control panel. The Company acknowledges and agrees that BotGuard will have access to the software and system dashboard, including its customer information, for providing technical support during the PoC.

Important

Botguard utilizes third-party hosting services. As such, any malicious, illegal, or unauthorized activities, including deploying governmental websites intended to harm, are strictly prohibited. In the event Botguard receives notification of such illicit activities, the Company must immediately assist Botguard in remedying the situation and cease all related actions. Botguard reserves the right to terminate the PoC immediately and claim any and all losses and damages incurred as a result of such activities.

Post-PoC Procedure

Upon completion of the PoC, Botguard will decommission the setup for the Company as follows:

• All access to the Botguard platform will be disabled.
• All websites added to Botguard will become unavailable until the Company restores the original DNS settings that were in place prior to using Self-Service PoC.

Botguard is not liable for any harm, loss, or damages that may occur during or after the PoC, including any disruptions to the Company’s services as a result of decommissioning. It is the Company’s responsibility to ensure the DNS settings are properly restored to their original values before the Self-Service PoC to resume normal operations.

Ownership

Nothing in this PoC shall be construed as granting any intellectual property rights or licenses to the Company, whether express or implied, related to Botguard’s technology, software, trademarks, or other proprietary materials. All rights, titles, and interests in and to Botguard’s intellectual property shall remain exclusively with Botguard.

Termination

Either Party may terminate this PoC at any point before the end of designated term, with or without cause. Upon termination, the Company’s rights and permissions arising from its PoC access and these terms of service cease instantly, and the Company must discontinue all use of such rights immediately.

Disclaimers

Botguard makes no promises, guarantees, or warranties regarding the delivery timelines, performance, or service levels of its Products and Services. Botguard is not liable for any losses incurred by the Company. In the event the Company’s actions cause harm to Botguard, whether monetary or reputational, the Company shall fully reimburse Botguard for any such losses, including both direct and indirect losses, such as lost revenue.

Terms and Conditions

This PoC is subject to the PoC Terms and Conditions available on the website of Botguard as updated from time to time. Third Party Terms and Conditions: in addition to the terms and conditions contained in these Terms of Service and our General Terms of Service agreements and policies, you hereby agree and undertake to be bound by the conditions of the third party service providers (Hetzner, DigitalOcean, Vultr and AWS).
